Service Provider Agreement

This Service Provider Agreement ("Agreement") is entered into between Booking Prime ("Booking Prime"), and the entity or individual identified as the Service Provider ("Service Provider"). This Agreement governs the Service Provider’s participation in Booking Prime’s online travel booking platform ("Platform") at https://booking-prime.com.

1. Definitions
1.1. "Booking" means a reservation made by a Customer through the Platform for the Service Provider’s services.
1.2. "Commission" means the fee payable by the Service Provider to Booking Prime for each Booking, as outlined in Section 5.
1.3. "Customer" means an individual or entity making a Booking through the Platform.
1.4. "Services" means the travel-related services (e.g., accommodations, flights, tours) offered by the Service Provider on the Platform.

2. Eligibility and Onboarding
2.1. The Service Provider must be a legally registered business or authorized individual, providing valid licenses, permits, and insurance as required by applicable laws.
2.2. The Service Provider shall submit accurate business details, including registration documents and contact information, for verification by Booking Prime.
2.3. Booking Prime reserves the right to approve or reject applications at its discretion, with approval typically completed within 3–5 business days.

3. Listing and Service Obligations
3.1. The Service Provider shall create and maintain accurate listings on the Platform, including descriptions, pricing, availability, and high-quality images, per Booking Prime’s guidelines.
3.2. The Service Provider is solely responsible for fulfilling Bookings as described, ensuring services meet listed standards and comply with applicable laws.
3.3. The Service Provider shall respond to Customer inquiries and special requests promptly via the Platform’s messaging system.
3.4. Listings must not contain misleading, illegal, or prohibited content, as outlined in Booking Prime’s Acceptable Use Policy.

4. Booking and Fulfillment
4.1. Bookings are confirmed automatically upon Customer payment, and the Service Provider shall receive details via their Platform account.
4.2. The Service Provider must honor all confirmed Bookings and notify Booking Prime immediately at info@booking-prime.com if unable to fulfill a Booking, offering alternatives or refunds per their cancellation policy.
4.3. The Service Provider shall provide Customers with clear terms (e.g., check-in procedures, cancellation policies) during the Booking process.

5. Commission and Payments
5.1. The Service Provider shall pay Booking Prime a Commission of 15% of the Booking subtotal (excluding taxes and guest fees) for each confirmed Booking, unless otherwise agreed in an addendum.
5.2. Premium Service Provider Program: Service Providers with high booking volumes or exclusive listings may qualify for a reduced Commission of 12%, subject to Booking Prime’s approval.
5.3. Prime Visibility Program: Service Providers may opt for an 18% Commission for enhanced listing visibility, boosting search rankings on the Platform.
5.4. A 2% payment processing fee applies to cover third-party payment processors (e.g., Stripe, PayPal).
5.5. Payments to the Service Provider, net of Commissions and fees, are processed within 7–14 business days after service delivery via the Service Provider’s selected payment method.
5.6. In case of payment disputes, the Service Provider shall contact info@booking-prime.com, and Booking Prime will investigate promptly.

6. Cancellations and Refunds
6.1. The Service Provider shall establish a clear cancellation policy, displayed on their listings, and process Customer cancellations per that policy.
6.2. Refunds follow the Service Provider’s policy and Booking Prime’s Return Policy. Booking Prime is not liable for refund disputes but may facilitate resolutions.
6.3. Frequent cancellations may result in listing penalties or account review, per Booking Prime’s Service Provider Policy.

7. Data and Privacy
7.1. The Service Provider shall handle Customer data securely, using it solely for Booking fulfillment and complying with Booking Prime’s Privacy Policy and applicable data protection laws.
7.2. In case of a data breach, the Service Provider shall notify Booking Prime immediately at info@booking-prime.com and follow legal requirements.
7.3. Booking Prime may share Customer data with the Service Provider as needed for Bookings, encrypted per industry standards.

8. Prohibited Activities
8.1. The Service Provider shall not engage in deceptive practices, bypass the Platform for direct bookings, or violate Booking Prime’s Acceptable Use Policy.
8.2. All communications and transactions with Customers must occur through the Platform to ensure transparency and compliance.

9. Intellectual Property
9.1. The Service Provider grants Booking Prime a non-exclusive, royalty-free license to use listing content (e.g., images, descriptions) for Platform promotion.
9.2. All Platform-related intellectual property (e.g., logos, software) remains Booking Prime’s exclusive property.

10. Dispute Resolution
10.1. The Service Provider shall address Customer complaints promptly via the Platform. Unresolved issues may be escalated to info@booking-prime.com for mediation.
10.2. Disputes between Booking Prime and the Service Provider shall be resolved through good-faith negotiations, followed by arbitration in Damascus, Syria, if necessary, per Syrian law.

11. Termination and Suspension
11.1. Either party may terminate this Agreement with 30 days’ written notice to the other party.
11.2. Booking Prime may suspend or terminate the Service Provider’s account immediately for violations of this Agreement, poor service quality, or repeated Customer complaints, with notice provided.
11.3. Upon termination, the Service Provider shall fulfill existing Bookings, and Booking Prime will process final payments, net of Commissions.
11.4. Appeals for suspension or termination may be submitted to info@booking-prime.com within 7 business days.

12. Liability and Indemnity
12.1. Booking Prime is an intermediary and not liable for the Service Provider’s service quality, Customer disputes, or damages arising from Bookings.
12.2. The Service Provider shall indemnify Booking Prime against claims arising from their services, misrepresentations, or breaches of this Agreement.

13. Confidentiality
13.1. The Service Provider shall not disclose Booking Prime’s confidential information (e.g., Platform algorithms, Customer data) to third parties.
13.2. Custom terms in addendums, if any, are confidential and may not be shared with other Service Providers.

14. Communication
14.1. Official communications shall occur via the Platform, email, or approved messaging apps (e.g., WhatsApp, Telegram), as agreed.
14.2. Communications via these channels are binding and considered official.

15. Governing Law
15.1. This Agreement is governed by the laws of Syria, with disputes resolved in Damascus, Syria.

16. Amendments
16.1. Booking Prime may update this Agreement with 14 days’ notice to the Service Provider via email or Platform announcement.
16.2. Continued use of the Platform after updates constitutes acceptance of the revised terms.

17. Entire Agreement
17.1. This Agreement, including any custom addendums, constitutes the entire agreement between the parties, superseding prior discussions.

Acceptance
By participating in the Platform, the Service Provider acknowledges and agrees to be bound by this Agreement. For custom terms, contact info@booking-prime.com to negotiate an addendum.
